1. Introduction and modifications
1.1 Welcome to Universal Music. This website or application is owned and operated by Universal Music Australia Pty Limited (ACN 000 158 592) or one of its related bodies corporate, (“Universal”, “we”, “us”, or “our”).
1.2 Your:
- access and use this website or application and any other website or application that we make available to you from time to time (“Service”); and
- purchase and/or use of any products or services by us to you via the Service (“Products”),
is subject to these terms of use (“Terms of Use”). By accessing and using the Service and/or purchasing our Products, you agree to comply with, and to be bound by, these Terms of Use (as updated by us from time to time in accordance with these Terms of Use). If you do not agree to these Terms of Use, you must not access or use the Service, or purchase our Products.
1.3 We may change these Terms of Use from time to time. When we make changes to these Terms of Use, we will post the revised Terms of Use on our website and update the Last Updated date above. You should review these Terms of Use from time to time. Your continued use of the Service or purchase of Products after we make a change indicates that you have accepted that change. Any amendments made in accordance with this clause after the date that you agree will only apply to Products purchased by you after the relevant Last Updated date above and the Terms of Supply that were in place at the time you purchased Products in the past will apply to those Products.
1.4 We may also modify, suspend or withdraw all or any part of the Service, temporarily or permanently, with or without notice to you. If you believe a change to the Service has materially affected your experience, please contact us at support@umusicsupportau.zendesk.com to discuss your concerns.
2. Access to and Use of this Service
2.1 We may require you to register an Account with us before we allow you to access or use the Service (or any part of the Service), in our sole discretion.
2.2 We grant you a non-exclusive, non-transferable, revocable, limited right and licence to access and use the Service in accordance with these Terms of Use.
2.3 You must only use the Service in accordance with these Terms of Use and any applicable laws, codes and regulations.
2.4 You must not (or must not attempt to):
- interfere with, corrupt or disrupt the Service or the servers or networks that host the website;
- use data mining, robots, screen scraping, automated queries or similar data gathering and extraction tools on the Service or otherwise interfere with security-related or other features of the Service;
- resupply, resell, sublicense, make available or otherwise allow any other person to access or use the Service or any material made available to you via the Service;
- decompile, disassemble, reverse compile or otherwise reverse engineer all or any portion of the Service, including any source code, object code, algorithms, methods or techniques used or embodied therein; or
- use the Service:
- to engage in any fraudulent or unlawful behaviour, or to defame, menace or harass any third party;
- to gain unauthorised access to, or interfere with, any online resources or systems of any third party, including by any form of hacking or circumvention of any security measures;
- to distribute unsolicited emails to third parties, including bulk unsolicited emails;
- in any manner that is likely to result in our systems, or that of any other person, being affected by any virus, worm, Trojan or similar computer program;
- in a way that infringes the intellectual property rights or any other rights of any person;
- to mislead or deceive others;
- in a way that disrupts, misuses or excessively uses our hardware, bandwidth access, storage space or other resources, or that of our other customers; or
- in any other manner that is otherwise unacceptable to us;
- use, or authorise to be used, automated means, including spiders, robots, crawlers, data mining tools, or similar, to download or scrape data or content from our website (or from other platforms via which we given you access to our data and content) for any purpose;
- submit, or authorise to be submitted, any data or content from our website (or data or content we otherwise give you access to) to any large language models or other machine learning or artificial intelligence platforms, tools, programs, software, operation, and/or similar (AI Programs);
- use, or authorise to be used, any data or content from our website (or data or content we otherwise give you access to) for any purpose in relation to any AI Programs, including to create, develop, train, and/or otherwise improve any AI Programs and/or for the purposes of generating replicated or derivative content from such AI Programs;
- use the Service for the purposes of accessing, storing, distributing, providing (including to us) or otherwise transmitting any material that, in our sole opinion:
- infringes the intellectual property rights of any third party;
- is unlawful, misleading, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
- promotes unlawful violence;
- depicts sexually explicit images;
- is discriminatory or promotes discrimination based on race, gender, colour, religious belief, sexual orientation or disability; or
- is otherwise unacceptable;
- link to our Service or any part of our Service in a way that damages or takes advantage of our reputation, including but not limited to:
- in a way to suggest or imply that you have any kind of association and affiliation with us, or approval and endorsement from us when there is none; or
- in a way that is illegal or unfair.
2.5 You must:
- act reasonably, follow our directions, and cooperate with us in connection with your access to and use of the Service; and
- provide us with information or data that we reasonably request from you in connection with the Service from time to time.
3. Registering an Account
3.1 To access some features of the Service, such as saving credit card details or delivery addresses for future purchases or creating wish lists you must register an account with us (“Account”).
3.2 To register for an Account, you must provide us with accurate and current personal information including your name, address, and a valid email address as prompted on the Service. You must not register more than one Account. You agree to promptly update your Account and/or any other necessary information, including your email address, delivery address and payment methods (including expiration dates), so that we can complete your Orders and contact you as needed.
3.3 When you create an Account, you will be issued with a single login and password (which may change from time to time) to access and use the Service (“User Credentials”).
3.4 You must:
- not allow your Account and/or any set of User Credentials to be used by any other person;
- ensure that your User Credentials are kept secure and confidential, and take all steps necessary to ensure that User Credentials are not disclosed, provided or made available to, or otherwise accessed by, any other person;
- comply with our reasonable instructions in relation to the security and integrity of User Credentials; and
- notify us immediately at support@umusicsupportau.zendesk.com after you become aware that your User Credentials have been disclosed, provided or made available to, or otherwise accessed by, any other person and take immediate steps to re-secure your account (including by changing your password).
3.5 We monitor all transactions for signs of fraud. If we, or our third party service providers, have reason to suspect fraudulent or unlawful behaviour in relation to your Order or return, we reserve the right to do any or all of the following.
- Cancel an existing Order and process a full refund.
- Refuse future Orders associated with your Account.
- Deactivate your Account.
- Report your suspected fraudulent or unlawful behaviour to law enforcement.
3.6 Without limiting our other rights in connection with these Terms of Use, we may disable any User Credentials and/or suspend your access to the Service, at any time, if in our reasonable opinion you have failed to comply with any of these Terms of Use.
3.7 If we deactivate, disable and/or suspend your User Credentials or Account per clauses 3.5(c) or 3.6, we will use reasonable endeavours to provide you with notice of such suspension or deactivation either prior to, or as soon as practical after, we suspend your access or deactivate your Account. If you rectify the breach to our reasonable satisfaction, we may reinstate your User Credentials and access.
3.8 You can only use and access the Services to the extent you are legally able to do so in your State, Territory and/or country and you must also be over 13 years of age (or the age of capacity in your location). To place Orders using an Account you must be at least 18 years old, and have the capacity to enter into a legally binding agreement with us. If you are under 18, you may only place an Order with the consent of a parent or guardian.
3.9 You are solely responsible for the activity that occurs on your Account (including Orders placed using your Account). We are not responsible for any unauthorised activity on your Account, including if you fail to keep your User Credentials secure, unless the unauthorised activity is caused by us. We may refer fraudulent or abusive or illegal activity to the relevant authorities.
4. Intellectual property rights
4.1 Universal owns, or is the licensee of, all rights (including intellectual property rights such as trade marks and copyright), title, and interests in and to the content and materials available on the website, including text, graphics, photographs, logos, icons, sound recordings and software. These Terms of Use do not grant any rights to you in such items or transfer any rights (including intellectual property rights) from us to you or any third parties..
4.2 You must not reproduce, transmit, communicate, adapt, distribute, sell, modify or publish, create derivative works, or otherwise use any of the content or material on the Service, including audio and video excerpts, except with our prior written consent.
4.3 We strive to ensure that all product images and descriptions are accurate. However, due to limitations in photography or Product design software, the representation of some Products (including signed / autographed Products, apparel and coloured vinyl) may differ to a small extent in visual appearance (for example in colour) from the way they appear on the Service.
5. Ordering
5.1 You may place an order for one or more of the Products displayed on the Service (“Order”).
5.2 We will notify you when we accept your Order by issuing a confirmation of payment.
6. Payment and purchase price
6.1 You must pay the relevant purchase price for the Products at the time that you place an Order. Your payment method will be billed as soon as your Order is placed.
6.2 Payment for all Products must be by credit or debit card or any other payment method listed on the checkout page of the website. All online debit/credit card transactions performed on the website are through secured payment gateways. All payment information is collected and stored by the third-party operators of the secured payment gateways, to be processed as required. We never permanently store complete debit/credit card details.
6.3 If we elect not to accept an Order and you have paid the purchase price for the Products in that Order, then we must refund you any amounts paid for that Order.
7. Delivery
7.1 We will endeavour to deliver the Products to the address in an accepted Order or request a third party to do so within a reasonable time after the Order is placed.
7.2 You acknowledge that any delivery dates we represent to you are indicative only and are not binding on us. To the extent permitted by law, we are not liable to you for any delay in delivery.
7.3 You must ensure that you are able to take Delivery of an Order without undue delay and at any time reasonably specified by us. Our delivery partners may contact you via SMS or email prior to delivery to provide you with different delivery options, including giving “authority to leave” the item at the address, or have delivery re-routed to a collection point. Alternatively, the courier may leave a card requesting your instructions on either re-delivery or collection from the carrier or a collection point.
7.4 You provide us with authority to leave items at the address specified in your Order. If the delivery driver deems the area unsafe in their discretion, your Order will be redirected to a collection point, redelivered in the next delivery run (where available) or returned back to our fulfilment centre. If delivery or collection is delayed through your refusal to accept delivery or if you do not (within two weeks of our first attempt to deliver the Product to you) accept delivery or collect your Order from the carrier, then we may (without affecting any other right or remedy available to us) do either or both of the following:
- charge you for our reasonable storage fees and other costs reasonably incurred by us; or
- no longer make the Product available for Delivery or collection and notify you that we are cancelling the applicable Order, in which case we will refund to you any money paid to us in accordance with our returns policy, less our reasonable administration charges (including for attempting to deliver and then returning the Product, and any storage fees and other costs provided for above).
7.5 Please note that it might not be possible for us to deliver to some locations. For example, we do not deliver to temporary addresses or PO Boxes. If we are unable to deliver to your location, we will inform you using the contact details that you provide to us when you make your Order and arrange for cancellation of the Order or delivery to an alternative delivery address.
7.6 Title to the Products passes from us to you when you pay the purchase price for those Products in full to us.
7.7 Risk to the Products passes from us to you on delivery to your nominated delivery address.
8. Cancellation
8.1 We reserve the right to cancel your Order at any time, including after we have accepted it, for any reason including if we are unable to fulfil your Order due to problems with Product availability or the supply chain and in circumstances contemplated by clause 14.6. We will let you know, and provide you with a full refund, if this occurs.
8.2 You may cancel your Order before we commence processing it. We cannot accommodate cancellation of orders after we have commenced processing the order, including where you have discovered that you have made a mistake with your Order after you have purchased one of our Products or changed your mind.
8.3 If you wish to cancel your Order prior to processing you may request a cancellation by emailing us at support@umusicsupportau.zendesk.com or using the self-service function, if available. In this case, clause 10 of these Terms of Use apply.
9. Taxes
9.1 You must pay all taxes, duties, government charges and other taxes of a similar nature (including fines, penalties and interest) imposed, levied, assessed or payable in Australia or overseas in connection with an Order.
9.2 The consideration for a Supply made under or in connection with these Terms of Use includes GST (as such terms are defined in A New Tax System (Goods and Services Tax) Act 1999 (Cth) as amended from time to time).
10. Returns, Replacements and Refunds
10.1 We will provide a refund, repair, or replacement where we are required to do so by law or these Terms. You may contact us at contact support@umusicsupportau.zendesk.com with any requests. Where you contact us regarding a refund or replacement, we reserve the right to request photographs or other reasonable evidence from you of, or in relation to, any Products in question.
10.2 To the extent permitted by law and without limiting the above, Universal does not:
- offer refunds or exchanges for change of mind, including exchange of Product for a different size.
- not process refunds for any albums purchased via ticketing partners and third parties such as Ticketek, Ticketmaster or Oztix and you will need to contact the relevant third party for a refund.
10.3 Notwithstanding any of the above, if you cancel your order before we commence processing it in accordance with clause 8.3 you will be entitled to a full refund.
11. Vouchers and promotions
Vouchers
11.1 Our vouchers entitle you to goods and services equal to the value stated on the voucher or remaining after partial redemption.
11.2 Vouchers:
- may be available online via this website only;
- are subject to any expiry dates set out on the voucher;
- may not be exchanged (wholly or partly) for cash;
- cannot be used in combination with other vouchers, offers and discounts on the same Product;
- cannot be applied retrospectively to an Order once it has been submitted.
- may be partially redeemable and any unused balance will remain on the voucher; and
- may be subject to additional terms, such as a minimum spend requirements, validity periods and brand and Product or sale exclusions.
11.3 We may email vouchers to you or to your selected recipient, however we accept no liability for errors in the email address provided to us.
11.4 You are responsible for the use and safety of your vouchers. We assume no liability for the loss or theft of vouchers, including if they are used without permission or if your email or Account is hacked or subject to unauthorised use. We monitor the issuance and redemption of vouchers.
Discounts and online promotions
11.5 Sometimes, we offer discounted prices and promo codes for Products on our Service. These are at our sole discretion and may change without notice.
11.6 Offers and promotions made by Universal may only be used online via this website and do not apply to purchases made in-store. You may receive online offers and promotions which include a promo code for use when shopping on this website. It is your responsibility to ensure that the code is valid, and that you enter the code at the time of making your purchase. We cannot apply the code retrospectively once you have submitted an Order.
11.7 Additional terms and conditions may apply to the use of the offer or promotion, including that certain Products may be excluded from promo code promotions. Please read these carefully to make sure you can take proper advantage of these offers. Any code is non-transferable and, unless expressly stated, may not be used in conjunction with any other offers.
Additional conditions for the redemption of vouchers and online promotions
11.8 Unless specifically stated, voucher/promo code promotions cannot be used to pay for shipping costs.
11.9 We will apply vouchers/promo codes on a pro-rata basis to voucher-eligible items in an order to determine the final price you pay for those items. Where you return an item purchased with a voucher, we will refund the relevant amount to the original voucher which will retain all of its other properties, including its use by date, and if purchased using a promo code, we will only refund the final price you paid for that item (where relevant).
11.10 We actively monitor misuse of vouchers/promo codes. If we suspect any fraud relating to vouchers/promo codes, we, to the extent permitted by law, reserve the right to:
- refuse to redeem your voucher/promo code and require a different means of payment;
- deactivate vouchers/promo codes; or
- do any of the things listed at clauses 3.5 and 3.6.
12. Pre-orders, autographed Product and limited edition Product
12.1 Universal may sell Products in a ‘pre-sale’ or ‘pre-order’ phase. When you purchase a Product during a pre-order or pre-sale phase (Pre-Sale Products), you must pay the purchase price for that Product to us when you place your Order for that Product but it will not be delivered until the Product’s release date.
12.2 From time to time, due to unforeseen circumstances in the artistic or production process of our musicians completing their album, the release date of Pre-Sale Products may change. If this occurs, we will contact you to notify you of the change in release and shipment dates.
12.3 Universal will aim to deliver all Pre-Sale Products on or as close to the release date as possible. However, due to strict security embargoes around some Pre-Sale Products, some Orders cannot be dispatched from our warehouse until the release date for the relevant Pre-Sale Product.
12.4 Universal sells Products that are autographed by our artists from time to time. All Products we advertise as autographed contain genuine autographs from the artist. We do not provide certificates of authenticity unless otherwise stated. Some of our autographed Products contain digital autographs rather than physical autographs. We will endeavour to include information regarding whether the autograph is digital or physical in the Product Description where we have such information, however customers acknowledge and accept that such information will not always be available or specified in product descriptions.
12.5 Universal makes limited edition Products available from time to time, which are advertised as ‘limited’ or ‘limited edition’ on the Service. This means the Product is special edition or there is limited stock available in Australia and worldwide.
12.6 Stock of autographed or limited edition Products is limited, which sometimes causes issues for replacements should there be an issue with your Product being faulty or lost in transit. In the instance that your Product is damaged or lost in transit, Universal will endeavour to find a replacement but may need to cancel and refund your Order if no replacement is available (in accordance with clause 12).
13. Disclaimers and liability
13.1 Nothing in this agreement limits any non-excludable rights you have under any applicable laws, including non-excludable guarantees and remedies under the Australian Consumer Law (being the provisions of Schedule 2 to the Competition and Consumer Act 2010 (Cth), as applied under Part XI or under a law of a State or Territory).
13.2 To the extent permitted by law, we expressly disclaim all warranties, express or implied, of any kind with respect to the Service and/or Products made available through the Service, including that the Service will be available at all times and without disruption or that it will be accurate, free from defects, errors or faults, or fit for any particular purpose. To the extent permitted by law, the Service is provided “as is” and “as available”.
13.3 To the extent permitted by law, our liability for any loss or damage, however caused (including by our negligence), suffered by you in connection with the use of this Service, or a Product obtained from the Service, is limited to the purchase price of Products you purchased from us using the Service.
13.4 To the extent permitted by law, we, our directors, officers, employees and representatives, will not be liable to you for any special, direct, indirect, incidental, consequential or punitive losses and damages (including loss of profits, loss of opportunity, loss of goodwill, loss of reputation, data losses or loss of business related to our Products and Services).
14. Indemnity
You indemnify and hold us and our related entities, affiliates, and our and their respective officers, agents, and employees, harmless from and against any and all claims, demands, proceedings, losses and damages (actual, special and consequential) of every kind and nature, known and unknown, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms of Use or your breach of any law or the rights of a third party to the extent that we or our related entities, affiliates, and our and their respective officers, agents and employees did not contribute to the claims, demands, proceedings, losses and damages in question.
15. Third party products
15.1 The Service may contain links to third-party websites, products, and services. We do not make any representations or warranties in relation to, and we exclude all liability from, such third-party websites, products and services.
15.2 Links to and/or from external third-party sites from this website are provided for convenience only and Universal does not endorse such external sites. We cannot be held responsible for the accuracy, copyright compliance, legality, or decency of material contained in third-party sites, and you irrevocably waive any claim against us with respect to such third-party sites. Third-party sites may be subject to additional fees and separate terms issued by the owner and operator of a third-party site, which will form a separate agreement between you and the relevant owner and operator.
16. Privacy policy and communications
16.1 If you provide or make available any personal information to us in connection with these Terms of Use or your access and use of the Service, you must do so in accordance with the Privacy Act 1988 (Cth) and make all disclosures and obtain all consents necessary to allow us to collect, store, use, disclose and otherwise deal with the Personal Information lawfully in accordance with our privacy policy, available at https://shop.umusic.com.au/policies/privacy-policy (“Privacy Policy”).
16.2 We will collect, use, store, disclose and handle personal information in accordance with our Privacy Policy.
16.3 When you provide us with your email address or mobile phone number, you may opt in to electronic marketing communications in respect of news, promotions, wishlist reminders and bag reminders. You may unsubscribe for any of these electronic communications by following the instructions in those communications or contacting us at support@umusicsupportau.zendesk.com. Your consent to receipt of certain communications may be implied from the use of certain functional aspects of our service.
17. Monitoring and Removal of Material
If you believe that the Service contains elements that infringe your intellectual property rights or those of a third party please contact us at support@umusicsupportau.zendesk.com.
18. General
18.1 Nothing in these Terms of Use will be taken as giving rise to a relationship of employment, agency, partnership or joint venture.
18.2 These Terms of Use contain the entire understanding between you and us concerning the subject matter of the agreement and supersedes all prior communications.
18.3 Any failure by us at any time to enforce these Terms of Use or any rights will not be a waiver of such rights or affect the validity of these Terms of Use.
18.4 If any provision of these Terms of Use is held by a court to be illegal, invalid or unenforceable under the applicable law, that term or provision will be severed from these Terms of Use and the remaining terms and conditions will be unaffected.
18.5 These Terms of Use are governed by, and construed in accordance with, the laws of New South Wales, Australia and the courts of the jurisdiction will have exclusive jurisdiction over any dispute arising out of these Terms of Use.
